Article 1 - Form and
denomination
An association governed by
the modified french law of July
1, 1901 and its texts of
application, having for
denomination MATHTAM, is created
between the members of the
present statutes.
Article 2 - Object and
realization
The association has as an
aim: “to promote the use of
mathematics, computer science
and sciences by all : private
individuals, associations,
companies etc and in particular
by the people or organizations
which have no or few knowledge
in these fields and/or which
have no or few financial means,”
to take part in development and
research projects either by
initiating them, or by proposing
an assistance to research
laboratories either public or
private. For the purposes of
realization of the aforesaid
object, the association will use
the following means of
actions:
I. to propose analyses and/or
audits of any process or tasks
which could be improved or
optimized thanks to a
mathematical and scientific
approach (technique, program,
organization,…),
II. to propose services of
assistance and advice,
III. to propose services of
scientific development
monitoring or study of the state
of the art,
IV. to propose services of
study, design and manufacture of
equipment for scientific
experiments (protocols,
prototypes, models, etc),
V. to propose services of
advice in communication (graphic
presentation of scientific
results, scientific
publications, design of logos
and Internet site in relation to
mathematics, sciences and
technology,…), and services of
advice about intellectual
property and imporved status of
R & D work (patent
registration, anteriority
research...)
VI. to propose mathematical
tools, generally in the form of
computer program specifically
created, developed and adapted
to a particular situation,
VII. to propose activities
of formation and to organize or
take part in conferences,
VIII. generally, any other
useful means to achieve the
goals of the association.
These various services, mainly
proposed via an Internet
site declared to the CNIL, could
be provided either on a purely
free or paying basis. In this
last case, the fees of this
commercial activity could be
variable according to the
categories of users and/or their
situation. In particular, the
association endeavours to
provide its services free to
caritative associations and
education institutions.
Article 3 - Address
The register office of the
association is fixed at the
following address: 15, impasse
de Capelas 31620 Castelnau d'
Estretefonds (FRANCE). Il can be
transferred by simple resolution
of the Board of Directors.
Article 4 - Duration
The duration of the
association is unspecified.
Article 5 - Admission and
composition
To belong to the
association, it is necessary to
make an application and to be
approved by the board of
directors which discusses, at
every meeting, about the
presented requests for
admission. A refusal of
admission does not have to be
justified. The association is
composed of: - members of honor
- benefactors members -
active members or members. Any
member commits himself to
respect the statutes and the
rules of procedure which were
communicated to him when joining
the association.
Article 6 -
Contributions
The members of honor are
those which did services
to the association and they are
for this reason exempted from
contributions. The benefactors
members are the people who pay
an admission fee and an annual
contribution which amounts are
fixed by the board of directors
and are indicated in the rules
of procedure. An annual
contribution must be paid by the
active members or members. Its
amount is fixed by the board of
directors and is indicated in
the rules of procedure.
Article 7 - Radiation
The membership is lost by:
a) the resignation which must be
addressed to the board of
directors in writing; b) the
death; c) radiation on serious
grounds. This latter will be
pronounced by the board of
directors.
Article 8 - Resources of the
association
The resources of the
association include: 1. the
amount of the contributions; 2.
manual gifts; 3. local authority
and State grants; 4. receipts of
exceptional events; the 5.
advertisements posted on
Internet sites put on line by
the association; 6.
subscriptions to services
provided by the association; 7.
receipts from services provided
to the users and/or to the
members or from the goods sold
by the association according to
the measures described in
article 2; 8. all other
resources authorized by the laws
in force.
Article 9 - Board of
directors
The association is directed
by a council of 2 members
invested in their functions for
an indeterminate duration. It is
constituted by a President (who
will moreover take up the
duty of Secretary) and a
Treasurer. The President,
Olivier TRUC, represents the
association in all acts of the
civil life. He has all power to
represent the association in all
acts of its life. He has, in
particular, quality to go to
court in the name of the
association. He will also
fulfill the functions of
Secretary, and will be for this
reason responsible for all that
relates to the correspondence
and archiving. He writes the
minutes of the meetings and
assemblies and, in general, all
the writings concerning the
running of the association,
except for those which relate to
accountancy. He holds the
special register provided for in
article 5 of the law of July 1,
1901 and articles 6 and 31 of
the Decree of August 16, 1901.
He ensures the execution of the
formalities stipulated by these
articles. The Treasurer, Claire
KANONY-TRUC, is in charge of
holding the accountancy of the
association or making it held
under her control . She carries
out all payments and receives,
under the monitoring of the
President, all sums due to the
association. She holds a regular
accountancy of all the
operations which she carries out
and returns account to the
annual General meeting which
approves her
management.
Article 10 - Board
meeting
The board of directors meets
at least once every year on
convocation of the President.
The decisions are made with the
majority of the voices. In the
event of division, the President
has a casting vote.
Article 11 - Remuneration
The members of the board of
directors are entitled to
refunding of their expenses on
receipts. Their functions are
voluntary.
Article 12 - Ordinary
general meeting
The ordinary general
assembly meets at least once a
year. It hears the report on the
activity and the management of
the association, approves the
accounts of the closed year,
vote the budget of the following
year.
Article 13 - Extraordinary
general meeting
The extraordinary general
assembly is qualified to amend
the status, to decide
dissolution, the fusion of the
association. It is caused by the
president. Minutes of the
meeting will be established.
They are signed by the President
and the Treasurer.
Article 14 - Intellectual
property
The intellectual contents
developed by the association
whatever they are (Internet
domain names , reports, programs,
software, texts, drawings,
prototypes, etc) will remain the
properties of MATHTAM.
Article 15 - Rules of
procedure
The board of directors can
decide the establishing of rules
of procedure. It imposes itself
upon all the members of
association.
Article 16 -
Dissolution
Dissolution is pronounced by
the board of directors which
names a liquidator. The credit
will be reserved in accordance
with article 9 of the law of
July 1, 1901 and with the decree
of August 16, 1901. The members
having carried out contributions
of financial credits or
materials other than gifts or
annual fees will be able to take
again these credits in their
proper name.
